These Terms of Service (“Terms”) govern your access to and use of the website operated by Thomas & Company Consulting at thomasconsultingcompany.com (the “Site”) and any consulting services purchased through it. By accessing this Site, completing any form, or engaging us, you agree to be bound by these Terms. If you do not agree, you must not use the Site.
Thomas & Company Consulting is a sole-owner consulting company headquartered at 505 20th Street North, Suite 1220, Birmingham, AL 35203. All engagements are delivered remotely over secure video. References to “we,” “our,” or “us” refer to Thomas & Company Consulting.
You must be at least 18 years old, legally able to enter into a binding contract under the laws of your jurisdiction, and authorized to act on behalf of the business you represent.

Submitting a contact form, completing the Readiness Assessment, scheduling a discovery call, or exchanging emails with us does not create a consulting relationship. A consulting engagement only exists once both parties have signed a written engagement agreement specifying scope, deliverables, fees, and term. See our Engagement Disclaimer for full detail.
Our services are described in general terms on the Services page and refined into a written engagement agreement before any work begins. All services are delivered remotely over secure video. Specific deliverables, timelines, fees, and payment terms are set forth in each individual engagement agreement and supersede any general descriptions on the Site. See our Service Delivery Policy.
Fees for consulting engagements are quoted in writing in each engagement agreement. Unless otherwise stated, fees are due as scheduled in that agreement. Past-due amounts may incur reasonable late charges as permitted by Alabama law. Refund and cancellation rights are described in our Refund Policy and Cancellation Policy.
All content on this Site — including text, graphics, logos, images, the Thomas & Company Consulting name and wordmark, the Business Readiness Assessment, and all underlying frameworks and methodologies — is the property of Thomas & Company Consulting (or its licensors) and is protected by United States and international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to view the Site for personal, non-commercial business inquiry purposes. No other use is permitted without our prior written consent.
Deliverables produced for a specific client during a paid engagement are licensed to that client for their internal business use, subject to the terms of the engagement agreement.

The information on this Site and the work performed during consulting engagements is intended to assist business owners with operational, structural, and strategic matters. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THOMAS & COMPANY CONSULTING, ITS OWNER, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS OR ANY ENGAGEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Thomas & Company Consulting and its owner, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any applicable law or third-party right.
These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Jefferson County, Alabama, and you consent to the personal jurisdiction of such courts.
Before initiating any legal action, you agree to first attempt to resolve any dispute by written notice to [email protected] and to engage in good-faith discussion for at least thirty (30) days.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be interpreted to give effect, to the greatest extent possible, to the original intent of the parties.
We may update these Terms from time to time. The “Effective” date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
